01. Introduction

Welcome to ConnectBuildHub ("we," "us," or "our"), an online marketplace connecting homeowners ("Homeowners") with licensed contractors ("Contractors") for home improvement, repair, and construction projects. By accessing or using our website, mobile application, or services (collectively, the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree with these Terms, you must not use the Platform.

02. Acceptance of Terms

By registering, accessing, or using the Platform, you agree to these Terms, our Privacy Policy, and any additional guidelines or policies posted on the Platform. These Terms apply to all users, including Homeowners, Contractors, and visitors. We reserve the right to update these Terms at any time, and any changes will take effect upon posting to the Platform, accompanied by a new "Last Updated" date. Your continued use of the Platform constitutes acceptance of the updated Terms.

03. Platform Overview

ConnectBuildHub is a marketplace that enables Homeowners to post home improvement projects ("Projects") and Contractors to submit bids to perform the work. We facilitate connections between Homeowners and Contractors but are not a party to any contracts or agreements formed between them. ConnectBuildHub does not perform, supervise, guarantee, or facilitate payments for any work performed through the Platform.

04. Eligibility

To use the Platform, you must:

• Be at least 18 years old and have the legal capacity to enter into contracts.
• For Contractors: Hold valid licenses, permits, and insurance as required by applicable laws in your jurisdiction.
• Provide accurate, complete, and current information during registration and keep it updated.

We reserve the right to refuse or terminate access to any user who does not meet these criteria or violates these Terms.

05. User Accounts

• Registration: You must create an account to access certain Platform features. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• Accuracy: You agree to provide accurate, current, and complete information during registration and to update it promptly if it changes.
• Security: Notify us immediately at support@connectbuildhub.comif you suspect unauthorized use of your account.
• Termination: We may suspend or terminate your account at our discretion, including for violations of these Terms, fraudulent activity, or failure to maintain valid licensing (for Contractors).

06. Homeowner Responsibilities

• Project Postings: Homeowners may post Projects with accurate descriptions, budgets, timelines, and any relevant details. You agree not to post false, misleading, or unlawful Projects.
• Contractor Selection: Homeowners are solely responsible for evaluating and selecting Contractors, including verifying licenses, insurance, qualifications, and references. ConnectBuildHub does not endorse or recommend any Contractor.
• Contracts: Any agreement for services, including scope, payment, and timelines, is solely between the Homeowner and Contractor. ConnectBuildHub is not a party to these agreements and is not responsible for their performance or enforcement.
• Payments: Homeowners are solely responsible for negotiating and making payments directly to Contractors outside the Platform. ConnectBuildHub does not facilitate, process, or manage payments and is not liable for payment disputes, non-payment, or related issues.
• Compliance: Homeowners must comply with all applicable laws, including obtaining necessary permits for Projects.

07. Contractor Responsibilities

• Bidding: Contractors may submit bids for Projects. Bids must be accurate, professional, and comply with applicable laws and regulations.
• Licensing and Insurance: Contractors must maintain valid licenses, insurance, and certifications as required by applicable laws and provide proof upon request. You must notify us immediately if your licensing status changes.
• Work Performance: Contractors are solely responsible for the quality, timeliness, safety, and completion of work performed. ConnectBuildHub does not supervise, direct, or guarantee work quality.
• Payments: Contractors are solely responsible for negotiating and collecting payments directly from Homeowners outside the Platform. ConnectBuildHub does not facilitate, process, or manage payments and is not liable for payment disputes or non-payment.
• Compliance: Contractors must comply with all applicable laws, including those related to permits, safety standards, consumer protection, and labor practices.
• Disputes: Contractors are responsible for resolving disputes with Homeowners directly. ConnectBuildHub is not liable for disputes arising from work performed.

08. Fees

• Contractor Subscription: Contractors must pay a monthly subscription fee to access the Platform, as outlined on our pricing page.
• No Transaction Fees: ConnectBuildHub does not charge transaction fees, as payments are handled directly between Homeowners and Contractors outside the Platform.
• Taxes: Contractors are responsible for reporting and paying any taxes related to their subscription fees or earnings from Projects. ConnectBuildHub does not provide tax advice.
• Non-Circumvention: Contractors agree not to solicit or accept work from Homeowners outside the Platform to avoid subscription fees, which may result in account termination.

09. User Conduct

You agree not to:

• Use the Platform for any unlawful, fraudulent, or harmful purpose.
• Post or submit false, misleading, or defamatory content.
• Impersonate others or provide inaccurate information.
• Interfere with the Platform’s operation, including introducing viruses, malware, or other harmful code.
• Harass, discriminate against, or harm other users.
• Circumvent Platform features, such as contacting users outside the Platform to avoid subscription fees.

Violations may result in account suspension or termination.

10. Reviews and Feedback

• Submission: Homeowners and Contractors may submit reviews or ratings for completed Projects. Reviews must be truthful, non-defamatory, and comply with our guidelines.
• Moderation: We may remove reviews that violate these Terms, are inappropriate, or are suspected to be fraudulent.
• No Liability: ConnectBuildHub is not responsible for the accuracy, completeness, or content of user reviews. Reviews do not reflect our opinions or endorsements.

11. Intellectual Property

• Platform Content: All content on the Platform, including text, logos, designs, and software, is owned by ConnectBuildHub or its licensors and protected by U.S. copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute this content without our written permission.
• User Content: By submitting content (e.g., Project descriptions, bids, reviews), you grant ConnectBuildHub a non-exclusive, royalty-free, worldwide license to use, display, and distribute it on the Platform for operational purposes.

12. Disclaimers

• As-Is Basis: The Platform is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• No Endorsement: ConnectBuildHub does not endorse, verify, or guarantee the qualifications, performance, or reliability of any Contractor or the accuracy of Project descriptions.
• Work Quality: We are not responsible for the quality, safety, or legality of work performed by Contractors or for any damages resulting from Projects.
• Payments: We are not responsible for payments, non-payments, or disputes related to payments between Homeowners and Contractors, as these are handled outside the Platform.
• Availability: We do not guarantee uninterrupted access to the Platform and are not liable for downtime or technical issues.

13. Limitation of Liability

To the fullest extent permitted by applicable law, ConnectBuildHub, its affiliates, officers, directors, and employees will not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to:

• Losses from work performed or not performed by Contractors.
• Disputes between Homeowners and Contractors, including payment disputes.
• Inability to access or use the Platform.
• Errors, omissions, or inaccuracies in Project details or bids.

14. Indemnification

You agree to indemnify, defend, and hold harmless ConnectBuildHub, its affiliates, officers, directors, and employees from any claims, losses, damages, or expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Platform.
• Violation of these Terms or applicable laws.
• Disputes between Homeowners and Contractors, including those related to payments or work quality.
• Your content, including Project postings, bids, or reviews.
• Work performed or not performed by Contractors.

15. Dispute Resolution

• Between Users: Disputes between Homeowners and Contractors (e.g., over work quality, payments, or delays) must be resolved directly between them. ConnectBuildHub may offer optional mediation tools but is not obligated to intervene and is not liable for such disputes.
• With ConnectBuildHub: Any disputes between you and ConnectBuildHub will be resolved through binding arbitration in a mutually agreed location, under the rules of the American Arbitration Association. You waive the right to pursue class actions, class arbitrations, or jury trials. Each party will bear its own arbitration costs unless otherwise determined by the arbitrator.
• Governing Law: These Terms are governed by the laws of the United States and the state in which ConnectBuildHub is headquartered, without regard to conflict of law principles.

16. Termination

We may suspend or terminate your access to the Platform at our sole discretion, with or without notice, for reasons including but not limited to:

• Violation of these Terms.
• Fraudulent or unlawful activity.
• Failure to maintain valid licensing or insurance (for Contractors).
• Inactivity for an extended period.

Upon termination, your account and data may be deleted, subject to applicable law. Provisions related to liability, indemnification, and dispute resolution will survive termination.

17. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy and any additional guidelines, constitute the entire agreement between you and ConnectBuildHub regarding the Platform.
• Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full effect.
• No Waiver: Our failure to enforce any provision shall not constitute a waiver of our right to enforce it later.
• Assignment: You may not assign these Terms without our written consent. We may assign these Terms at our discretion.
• Force Majeure: We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, technical outages).
